1. Introduction
Welcome to Hinoki. Thank you for using our conversational video editing platform and the products, services, and features we make available as part of our service offerings (collectively, the “Service”). Please read these Terms of Service (“Terms”) carefully, as they govern your access to and use of the Service. If you do not understand these Terms or do not accept any part of them, you may not use the Service. Your Service Provider
The Service is provided by Sauna Intelligence Inc., a corporation organized under the laws of the State of Delaware (“Hinoki,” “we,” “us,” or “our”). Our mailing address is 1111B S Governors Ave STE 39316, Dover, Delaware 19904, USA.
2. Applicable Terms
Your use of the Service is subject to these Terms and our Privacy Policy. From time to time, the Service may offer features or functionality subject to additional policies, guidelines, or terms (“Additional Terms”). When Additional Terms apply, they form part of these Terms, and by using those features, you agree to comply with them.
3. Who May Use the Service
Age Requirements
You must be at least 13 years old to use the Service, or such greater age required in your country to register for or use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian who has reviewed these Terms with you and accepted them on your behalf. If you are a parent or legal guardian and you allow your child to use the Service, you are responsible for your child’s activity on the Service.
Use on Behalf of an Organization
If you use the Service on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf and that such entity agrees to be bound by these Terms. You may not share your credentials with anyone outside your organization.
4. Your Use of the Service
Conversational Video Editing Platform
Hinoki provides an online conversational video editing environment. You upload video files, describe how you want them edited, and the Service automatically generates edited versions of your videos based on your instructions. You can review these edited versions inside the Service, provide additional instructions to refine them, and, when you are satisfied, export a compiled video file.
The edited versions you see as you work may go through multiple iterations as you provide additional instructions to refine the results. The Service uses automated and AI-assisted processing to perform these edits, but you remain responsible for reviewing the results and deciding whether to use or publish them. The Service continues to evolve, and we may update, modify, enhance, or discontinue any aspect of it without notice, including to comply with legal requirements or to prevent misuse.
AI-Assisted and Automated Editing
The Service uses automated and AI-assisted technologies to analyze your uploaded videos, interpret your instructions, and generate edited versions of your content. These technologies continue to evolve and may occasionally produce results that are incomplete, inaccurate, or inconsistent with your expectations. You acknowledge that automated editing may misinterpret instructions, overlook certain video elements, or generate edits that require further refinement.
You are solely responsible for reviewing all edited versions and final Output for accuracy, completeness, and suitability before exporting, sharing, or publishing them. Hinoki does not warrant that any automated processing, analysis, or editing will be error-free, meet your specific requirements, or be suitable for any particular use.
To deliver the Service, Hinoki may rely on third-party systems and infrastructure. The availability, performance, and accuracy of the Service may be affected by these external technologies, and Hinoki does not control or guarantee their operation.
Account Registration and Security
To access the Service, you must register an account using a supported authentication method (e.g., Google OAuth, email and password, or other third-party providers we make available). You agree to provide accurate and current information, to maintain the security of your account credentials, and not to share your access credentials with others. You are responsible for all activity under your account. We may access your account solely for support, troubleshooting, security review, or operational purposes.
Use License
Subject to your compliance with these Terms, Hinoki grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. Nothing in these Terms grants you any rights in the Service or its content except as expressly set out herein.
5. User Content
Definition
“User Content” means any videos, instructions (whether text, voice, or other interaction), metadata, or other materials that you or other users upload, submit, share, or otherwise provide through the Service, including through any shared upload, link-based upload, QR-based upload, collaboration, or similar functionality that we may make available.
Your Rights
You retain ownership of your User Content, subject to the rights and licenses granted in these Terms. Depending on the functionality of the Service, you may be able to delete projects, remove media, or otherwise manage certain User Content within your account or workspace views. Where content is submitted to another user or recipient through a shared upload or similar feature, the availability of uploader-side access, deletion, or management functionality may be limited or unavailable. Removing content from the Service interface does not necessarily result in immediate deletion of the underlying data from our systems.
License to Hinoki
In order to provide the Service, you grant Hinoki a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify for technical purposes, analyze, process, and otherwise use your User Content as needed to operate, maintain, and improve the Service. This includes enabling editing functionality, producing analysis and timelines, generating Output, and ensuring platform integrity. This license is solely for delivering the Service and does not transfer ownership of your User Content.
Your Warranties
You represent and warrant that you have all rights necessary to upload and use your User Content with the Service and that such content does not violate any laws or third-party rights, including intellectual property, publicity, or privacy rights.
6. Output and Service Materials
Output Ownership
“Output” refers to the edited video versions and exported video files that the Service generates for you based on your uploaded videos and instructions. Subject to the rights in your original materials and any applicable law, you own all rights in the Output, and you may use, publish, or commercialize the Output for any lawful purpose. You are responsible for ensuring that your use of the Output complies with all applicable laws and third-party rights.
Due to the nature of AI-assisted technologies, similar instructions from different users may produce similar Output. We do not guarantee that your Output will be unique. You are solely responsible for evaluating whether your use of the Output infringes any third-party rights.
Service Materials
In providing the Service, Hinoki may generate or use certain internal data, system logic, or technical materials that support your editing workflow and enable the platform to function (“Service Materials”). Service Materials are part of the Service’s underlying functionality and remain the property of Hinoki. They are not intended to be exported or used independently outside the Service.
Nothing in these Terms limits your rights in your User Content or Output, and nothing in these Terms grants you ownership of Hinoki’s underlying technology or internal materials.
Removal and Retention
If you delete a project, the project and its associated User Content and accessible Output may be removed from your account views in the Service. We may retain copies of User Content and related data in our systems (including backups) for operational, security, legal compliance, debugging, and service improvement purposes, as described in our Privacy Policy. We do not guarantee indefinite storage of any materials, and you are responsible for keeping copies of any content or Output you wish to retain. Account deletion may not be available at all times.
7. Internal Use of Data
Hinoki may internally use information generated through your use of the Service, including technical logs, system-level analytics, and aggregated usage data, to operate, maintain, protect, and improve the Service and to refine our algorithms. However, we do not currently use your raw User Content (specifically your uploaded video files or editing instructions) to train our own machine-learning models, unless we explicitly introduce a program to do so and provide you with notice. In providing certain features of the Service, third-party services or technologies may be used. The handling of data by such third parties is governed by their own terms and policies, and we do not control their independent data practices unless otherwise expressly agreed.
8. Restrictions and Prohibited Conduct
You agree not to provide anything to the Service, or otherwise use the Service, in a way that:
Infringes any intellectual property, publicity, or privacy rights;
Violates any applicable law or regulation;
Is fraudulent, harmful, misleading, hateful, harassing, or otherwise objectionable;
Impersonates any individual or misrepresents your identity;
Jeopardizes the security of your account;
Attempts to gain unauthorized access to any system or network;
Uses any shared upload link, QR code, invitation, or similar access mechanism without authorization, or in a manner that exceeds the permissions intended by the applicable user, recipient, or Service functionality;
Interferes with or burdens the operation of the Service;
Extracts, scrapes, or indexes any portion of the Service;
Reverse engineers, decompiles, or attempts to discover underlying components or source code;
Uses the Service to develop or train competing models or products;
Circumvents any technical controls or usage limits;
Collects information that may identify another person without valid authorization;
Sends instructions designed to bypass or "jailbreak" the Service’s safety filters or content moderation systems;
Uses the Service to generate content that promotes self-harm, violence, sexual exploitation, or illegal acts;
Distributes unsolicited commercial content or spam;
You may not use or export the Service except as authorized by United States law and the laws of the jurisdiction from which you access the Service. You agree not to export or re-export any portion of the Service in violation of U.S. export control or sanctions laws.
Hinoki may suspend or terminate access to the Service if we believe you have violated these Terms or engaged in suspicious or harmful conduct. We may also suspend, disable, restrict, or revoke any shared upload, link-based access, QR-based access, invitation, or similar functionality at any time where we believe it is necessary for security, abuse prevention, legal compliance, technical integrity, or protection of the Service or its users.
9. Plans, Subscriptions, Payments, and Credits
The Service may offer free plans, paid subscription plans, one-time purchases of additional credits, and other paid or promotional offerings from time to time. The availability, pricing, features, limits, included credits, bonus structures, and eligibility requirements of any plan or offering may vary and may be described on the Service, at checkout, or in other materials we make available.
Free Plans
We may offer a free plan that includes a limited set of features and a one-time allocation of credits upon sign-up or account creation. Unless expressly stated otherwise, credits included with a free plan do not automatically replenish on a recurring basis. Free-plan credits, promotional credits, complimentary credits, or other non-purchased credits may be subject to additional conditions, restrictions, expiration terms, or forfeiture rules as described on the Service or at the time they are granted.
Paid Subscription Plans
We may offer paid subscription plans on a recurring monthly basis. By purchasing a subscription, you authorize us to charge your selected payment method on a recurring basis for each billing cycle unless and until you cancel. Your subscription will automatically renew at the end of each billing cycle unless cancelled before renewal.
Cancellation
You may cancel your subscription at any time. Unless otherwise stated, cancellation will take effect at the end of your then-current billing period, and you will continue to have access to the subscription benefits through the remainder of that billing period. After cancellation becomes effective, your subscription will not renew for the next billing cycle.
Included Monthly Credits
A paid subscription plan may include recurring monthly credits that are issued at the start of each applicable billing cycle or on the applicable billing date. Unless otherwise stated on the Service, unused monthly credits included with a subscription plan may roll over for one additional month only, after which they expire. If your subscription is cancelled, any remaining monthly credits may continue to be used during the remainder of the current billing period and, unless otherwise stated on the Service, during the applicable one-month rollover period described above.
Additional Purchased Credits
We may allow you to purchase additional credits separately from a subscription plan. Additional purchased credits are subject to the validity period stated on the Service or at the time of purchase. Unless otherwise stated, additional purchased credits expire twelve (12) months after the date they are issued or purchased. Additional purchased credits remain subject to their stated validity period regardless of whether your subscription remains active, is downgraded, or is cancelled.
Order of Credit Usage
Unless otherwise stated by the Service, credits included with a subscription plan will be applied before separately purchased additional credits.
Bonus or Promotional Credits
Certain plans or offerings may be eligible for bonus, promotional, or other supplemental credits in connection with the purchase of additional credits or other activities on the Service. Any such bonus, promotional, or supplemental credits have no cash value, are non-transferable, are not redeemable for cash, and may be subject to separate conditions, restrictions, and expiration terms.
Payment Processing
All prices are displayed at the point of purchase or otherwise on the Service. You agree to pay all fees, charges, and applicable taxes associated with your selected plan, subscription, or purchase using a valid payment method. We may use third-party payment processors to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the applicable payment processor in addition to these Terms.
Nature of Credits
Credits are a unit of measurement for access to certain features or functionality within the Service. Credits have no cash value, are non-transferable, cannot be redeemed for cash, exchanged, or resold, and do not constitute personal property. You receive a limited right to use credits within the Service subject to these Terms and any applicable plan, offer, or purchase conditions.
Plan Changes
We may allow you to upgrade or downgrade your subscription plan through the Service. Unless otherwise stated at the time of the change, upgrades may take effect immediately, and downgrades may take effect at the start of the next billing cycle. When a plan change occurs, the applicable fees and billing treatment will be determined based on the effective date of the change and the pricing presented at checkout or otherwise through the Service at the time of the change. Included credits, rollover treatment, bonus structures, feature access, and usage limits may also be adjusted in accordance with these Terms and the rules applicable to your new plan.
Refunds and Billing Disputes
All purchases, subscription fees, and credit purchases are final and non-refundable except as required by applicable law. If you believe a billing error has occurred, please contact us at hello@saunaintelligence.com. We may review billing issues on a case-by-case basis, but we do not guarantee refunds, credits, or corrections in all situations.
Changes to Plans and Offerings
We may modify, suspend, or discontinue plans, subscriptions, pricing, included credits, bonus structures, available credit packages, features, or usage limits from time to time. Unless otherwise required by applicable law or expressly stated by us, such changes will apply prospectively, such as upon renewal, at the time of a new purchase, or as otherwise communicated through the Service.
10. Third-Party Services
The Service may rely on third-party vendors to provide authentication, payment processing, storage, analytics, or technical infrastructure. We do not control or assume responsibility for the performance or availability of such third-party services. Your use of the Service may be subject to terms imposed by those third parties.
11. Intellectual Property in the Service
The Service, including its design, interface, software, typefaces, graphics, algorithms, and proprietary technologies, is owned by Hinoki and its licensors. These Terms do not grant you ownership of any part of the Service. You may not reproduce, modify, distribute, sell, or create derivative works based on the Service except as expressly permitted.
12. Feedback
If you choose to submit comments, suggestions, feature requests, or other feedback regarding the Service (“Feedback”), you acknowledge that Hinoki may use such Feedback for any purpose without obligation to you. To the maximum extent permitted by law, you assign to Hinoki all rights in and to the Feedback, and you waive any claim against Hinoki’s use of the Feedback.
13. DMCA Notice and Takedown
Hinoki respects intellectual property rights. If you believe that content on the Service infringes your rights, you may send a notice to Hinoki’s designated agent at:

Your notice must comply with the requirements of the Digital Millennium Copyright Act (DMCA). Upon receiving compliant notice, we may remove or disable access to claimed infringing material and take other actions we deem appropriate, including restricting access to the Service, where required or appropriate.
14. Service Modifications and Availability
We continually improve the Service and may add, modify, or remove features at any time. The Service may be unavailable from time to time due to maintenance, updates, outages, or factors beyond our control. You acknowledge that you are responsible for maintaining backups of your important materials and that Hinoki is not responsible for any loss of User Content or Output.
15. Warranty Disclaimer
THE SERVICE AND ALL CONTENT, OUTPUT, SERVICE MATERIALS, AND OTHER MATERIALS PROVIDED THROUGH THE SERVICE ARE OFFERED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. HINOKI DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. HINOKI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR DOES IT WARRANT THE ACCURACY OR RELIABILITY OF ANY OUTPUT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HINOKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OR DAMAGE TO YOUR USER CONTENT, LOSS OF PROFITS, LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. YOU ACKNOWLEDGE THAT THE SERVICE IS NOT A BACKUP SERVICE AND YOU ARE RESPONSIBLE FOR MAINTAINING INDEPENDENT COPIES OF YOUR ORIGINAL VIDEO FILES. HINOKI’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU HAVE PAID TO HINOKI IN THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE.
17. Indemnification
You agree to indemnify and hold harmless Hinoki, its officers, employees, contractors, and affiliates from any claim, liability, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, your User Content, your Output, or your violation of these Terms.
18. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules, except as otherwise required by the mandatory laws of your country of residence.
Mandatory Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Delaware (or telephonically).
Class Action Waiver
YOU AND HINOKI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Opt-Out
You may have the right to opt out of this arbitration agreement by contacting us within thirty (30) days of your first use of the Service.
19. Termination
You may stop using the Service at any time. Hinoki may suspend or terminate your account or access to the Service at its discretion, including for violations of these Terms, legal compliance obligations, suspicious activity, fraud, or security concerns. Upon termination, your access to User Content and Output may be limited or deleted, and Hinoki may retain certain information for legal or operational purposes. Termination or account closure does not entitle you to a refund of subscription fees or credit purchases except as required by applicable law, and any credits remain subject to the expiration, forfeiture, and usage rules described in these Terms or on the Service.
20. Changes to the Terms
Hinoki may update these Terms from time to time. When we do, we will revise the Effective Date and post the updated Terms. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
21. Miscellaneous
These Terms constitute the entire agreement between you and Hinoki regarding the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any provision of these Terms will be effective unless in writing and signed by Hinoki, and any failure to enforce a provision will not constitute a waiver of future enforcement. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. Hinoki may freely assign these Terms. You consent to receive electronic communications from Hinoki related to your use of the Service, including legal notices, updates, and disclosures.
The following sections survive any termination of these Terms: User Content, Output and Service Materials, Internal Use of Data, Intellectual Property in the Service, Plans, Subscriptions, Payments, and Credits (to the extent fees remain due or credit-related rules remain applicable), Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution.

License to Hinoki

This includes enabling editing functionality, producing analysis and timelines, generating Output, supporting collaboration and sharing features, making content available to the intended recipient of a shared upload or similar feature, and ensuring platform integrity. This license is solely for delivering the Service and does not transfer ownership of your User Content.
Your Warranties
You represent and warrant that you have all rights, consents, permissions, and authority necessary to upload, submit, share, and use your User Content with the Service and that such User Content does not violate any laws or third-party rights, including intellectual property, publicity, privacy, or contractual rights. If you submit User Content through a shared upload, shared link, QR code, invitation, or similar feature for another user or recipient, you further represent and warrant that you authorize Hinoki to store, process, and make that User Content available to the intended recipient for use in connection with the Service and video creation.
Shared Uploads and Recipient Access
We may offer features that allow you to upload or submit User Content to another user, account, workspace, project, or recipient through a shared link, QR code, invitation, or similar mechanism. If you use such a feature, you acknowledge and agree that your User Content may be stored by Hinoki and made available to the intended recipient for use in connection with the Service, including video editing, creation, organization, and related workflow purposes. We may determine the functionality, scope, and availability of shared upload features from time to time, including which users may access, manage, or remove content submitted through such features.
6. Output and Service Materials
Output Ownership
“Output” refers to the edited video versions and exported video files that the Service generates for you based on your uploaded videos and instructions. Subject to the rights in your original materials and any applicable law, you own all rights in the Output, and you may use, publish, or commercialize the Output for any lawful purpose. You are responsible for ensuring that your use of the Output complies with all applicable laws and third-party rights.
Due to the nature of AI-assisted technologies, similar instructions from different users may produce similar Output. We do not guarantee that your Output will be unique. You are solely responsible for evaluating whether your use of the Output infringes any third-party rights.
Service Materials
In providing the Service, Hinoki may generate or use certain internal data, system logic, or technical materials that support your editing workflow and enable the platform to function (“Service Materials”). Service Materials are part of the Service’s underlying functionality and remain the property of Hinoki. They are not intended to be exported or used independently outside the Service.
Nothing in these Terms limits your rights in your User Content or Output, and nothing in these Terms grants you ownership of Hinoki’s underlying technology or internal materials.
Removal and Retention
If you delete a project, the project and its associated User Content and accessible Output may be removed from your account views in the Service. We may retain copies of User Content and related data in our systems (including backups) for operational, security, legal compliance, debugging, and service improvement purposes, as described in our Privacy Policy. We do not guarantee indefinite storage of any materials, and you are responsible for keeping copies of any content or Output you wish to retain. Account deletion may not be available at all times.
7. Internal Use of Data
Hinoki may internally use information generated through your use of the Service, including technical logs, system-level analytics, and aggregated usage data, to operate, maintain, protect, and improve the Service and to refine our algorithms. However, we do not currently use your raw User Content (specifically your uploaded video files or editing instructions) to train our own machine-learning models, unless we explicitly introduce a program to do so and provide you with notice. In providing certain features of the Service, third-party services or technologies may be used. The handling of data by such third parties is governed by their own terms and policies, and we do not control their independent data practices unless otherwise expressly agreed.
8. Restrictions and Prohibited Conduct
You agree not to provide anything to the Service, or otherwise use the Service, in a way that:
Infringes any intellectual property, publicity, or privacy rights;
Violates any applicable law or regulation;
Is fraudulent, harmful, misleading, hateful, harassing, or otherwise objectionable;
Impersonates any individual or misrepresents your identity;
Jeopardizes the security of your account;
Attempts to gain unauthorized access to any system or network;
Uses any shared upload link, QR code, invitation, or similar access mechanism without authorization, or in a manner that exceeds the permissions intended by the applicable user, recipient, or Service functionality;
Interferes with or burdens the operation of the Service;
Extracts, scrapes, or indexes any portion of the Service;
Reverse engineers, decompiles, or attempts to discover underlying components or source code;
Uses the Service to develop or train competing models or products;
Circumvents any technical controls or usage limits;
Collects information that may identify another person without valid authorization;
Sends instructions designed to bypass or "jailbreak" the Service’s safety filters or content moderation systems;
Uses the Service to generate content that promotes self-harm, violence, sexual exploitation, or illegal acts;
Distributes unsolicited commercial content or spam;
You may not use or export the Service except as authorized by United States law and the laws of the jurisdiction from which you access the Service. You agree not to export or re-export any portion of the Service in violation of U.S. export control or sanctions laws.
Hinoki may suspend or terminate access to the Service if we believe you have violated these Terms or engaged in suspicious or harmful conduct. We may also suspend, disable, restrict, or revoke any shared upload, link-based access, QR-based access, invitation, or similar functionality at any time where we believe it is necessary for security, abuse prevention, legal compliance, technical integrity, or protection of the Service or its users.
9. Plans, Subscriptions, Payments, and Credits
The Service may offer free plans, paid subscription plans, one-time purchases of additional credits, and other paid or promotional offerings from time to time. The availability, pricing, features, limits, included credits, bonus structures, and eligibility requirements of any plan or offering may vary and may be described on the Service, at checkout, or in other materials we make available.
Free Plans
We may offer a free plan that includes a limited set of features and a one-time allocation of credits upon sign-up or account creation. Unless expressly stated otherwise, credits included with a free plan do not automatically replenish on a recurring basis. Free-plan credits, promotional credits, complimentary credits, or other non-purchased credits may be subject to additional conditions, restrictions, expiration terms, or forfeiture rules as described on the Service or at the time they are granted.
Paid Subscription Plans
We may offer paid subscription plans on a recurring monthly basis. By purchasing a subscription, you authorize us to charge your selected payment method on a recurring basis for each billing cycle unless and until you cancel. Your subscription will automatically renew at the end of each billing cycle unless cancelled before renewal.
Cancellation
You may cancel your subscription at any time. Unless otherwise stated, cancellation will take effect at the end of your then-current billing period, and you will continue to have access to the subscription benefits through the remainder of that billing period. After cancellation becomes effective, your subscription will not renew for the next billing cycle.
Included Monthly Credits
A paid subscription plan may include recurring monthly credits that are issued at the start of each applicable billing cycle or on the applicable billing date. Unless otherwise stated on the Service, unused monthly credits included with a subscription plan may roll over for one additional month only, after which they expire. If your subscription is cancelled, any remaining monthly credits may continue to be used during the remainder of the current billing period and, unless otherwise stated on the Service, during the applicable one-month rollover period described above.
Additional Purchased Credits
We may allow you to purchase additional credits separately from a subscription plan.
Additional purchased credits are subject to the validity period stated on the Service or at the time of purchase. Unless otherwise stated, additional purchased credits expire twelve (12) months after the date they are issued or purchased. Additional purchased credits remain subject to their stated validity period regardless of whether your subscription remains active, is downgraded, or is cancelled.
Order of Credit Usage
Unless otherwise stated by the Service, credits included with a subscription plan will be applied before separately purchased additional credits.
Bonus or Promotional Credits
Certain plans or offerings may be eligible for bonus, promotional, or other supplemental credits in connection with the purchase of additional credits or other activities on the Service. Any such bonus, promotional, or supplemental credits have no cash value, are non-transferable, are not redeemable for cash, and may be subject to separate conditions, restrictions, and expiration terms.
Payment Processing
All prices are displayed at the point of purchase or otherwise on the Service. You agree to pay all fees, charges, and applicable taxes associated with your selected plan, subscription, or purchase using a valid payment method. We may use third-party payment processors to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the applicable payment processor in addition to these Terms.
Nature of Credits
Credits are a unit of measurement for access to certain features or functionality within the Service. Credits have no cash value, are non-transferable, cannot be redeemed for cash, exchanged, or resold, and do not constitute personal property. You receive a limited right to use credits within the Service subject to these Terms and any applicable plan, offer, or purchase conditions.
Plan Changes
We may allow you to upgrade or downgrade your subscription plan through the Service. Unless otherwise stated at the time of the change, upgrades may take effect immediately, and downgrades may take effect at the start of the next billing cycle. When a plan change occurs, the applicable fees and billing treatment will be determined based on the effective date of the change and the pricing presented at checkout or otherwise through the Service at the time of the change. Included credits, rollover treatment, bonus structures, feature access, and usage limits may also be adjusted in accordance with these Terms and the rules applicable to your new plan.
Refunds and Billing Disputes
All purchases, subscription fees, and credit purchases are final and non-refundable except as required by applicable law. We may review billing issues on a case-by-case basis, but we do not guarantee refunds, credits, or corrections in all situations.
Changes to Plans and Offerings
We may modify, suspend, or discontinue plans, subscriptions, pricing, included credits, bonus structures, available credit packages, features, or usage limits from time to time. Unless otherwise required by applicable law or expressly stated by us, such changes will apply prospectively, such as upon renewal, at the time of a new purchase, or as otherwise communicated through the Service.
10. Third-Party Services
The Service may rely on third-party vendors to provide authentication, payment processing, storage, analytics, or technical infrastructure. We do not control or assume responsibility for the performance or availability of such third-party services. Your use of the Service may be subject to terms imposed by those third parties.
11. Intellectual Property in the Service
The Service, including its design, interface, software, typefaces, graphics, algorithms, and proprietary technologies, is owned by Hinoki and its licensors. These Terms do not grant you ownership of any part of the Service. You may not reproduce, modify, distribute, sell, or create derivative works based on the Service except as expressly permitted.
12. Feedback
If you choose to submit comments, suggestions, feature requests, or other feedback regarding the Service (“Feedback”), you acknowledge that Hinoki may use such Feedback for any purpose without obligation to you. To the maximum extent permitted by law, you assign to Hinoki all rights in and to the Feedback, and you waive any claim against Hinoki’s use of the Feedback.
13. DMCA Notice and Takedown

Your notice must comply with the requirements of the Digital Millennium Copyright Act (DMCA). Upon receiving compliant notice, we may remove or disable access to claimed infringing material and take other actions we deem appropriate, including restricting access to the Service, where required or appropriate.
14. Service Modifications and Availability
We continually improve the Service and may add, modify, or remove features at any time. The Service may be unavailable from time to time due to maintenance, updates, outages, or factors beyond our control. You acknowledge that you are responsible for maintaining backups of your important materials and that Hinoki is not responsible for any loss of User Content or Output.
15. Warranty Disclaimer
THE SERVICE AND ALL CONTENT, OUTPUT, SERVICE MATERIALS, AND OTHER MATERIALS PROVIDED THROUGH THE SERVICE ARE OFFERED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. HINOKI DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. HINOKI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR DOES IT WARRANT THE ACCURACY OR RELIABILITY OF ANY OUTPUT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HINOKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OR DAMAGE TO YOUR USER CONTENT, LOSS OF PROFITS, LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. YOU ACKNOWLEDGE THAT THE SERVICE IS NOT A BACKUP SERVICE AND YOU ARE RESPONSIBLE FOR MAINTAINING INDEPENDENT COPIES OF YOUR ORIGINAL VIDEO FILES. HINOKI’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU HAVE PAID TO HINOKI IN THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE.
17. Indemnification
You agree to indemnify and hold harmless Hinoki, its officers, employees, contractors, and affiliates from any claim, liability, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, your User Content, your Output, or your violation of these Terms.
18. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules, except as otherwise required by the mandatory laws of your country of residence.
Mandatory Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Delaware (or telephonically).
Class Action Waiver
YOU AND HINOKI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Opt-Out
You may have the right to opt out of this arbitration agreement by contacting us within thirty (30) days of your first use of the Service.
19. Termination
You may stop using the Service at any time. Hinoki may suspend or terminate your account or access to the Service at its discretion, including for violations of these Terms, legal compliance obligations, suspicious activity, fraud, or security concerns. Upon termination, your access to User Content and Output may be limited or deleted, and Hinoki may retain certain information for legal or operational purposes. Termination or account closure does not entitle you to a refund of subscription fees or credit purchases except as required by applicable law, and any credits remain subject to the expiration, forfeiture, and usage rules described in these Terms or on the Service.
20. Changes to the Terms
Hinoki may update these Terms from time to time. When we do, we will revise the Effective Date and post the updated Terms. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
21. Miscellaneous
These Terms constitute the entire agreement between you and Hinoki regarding the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any provision of these Terms will be effective unless in writing and signed by Hinoki, and any failure to enforce a provision will not constitute a waiver of future enforcement. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. Hinoki may freely assign these Terms. You consent to receive electronic communications from Hinoki related to your use of the Service, including legal notices, updates, and disclosures.
The following sections survive any termination of these Terms: User Content, Output and Service Materials, Internal Use of Data, Intellectual Property in the Service, Plans, Subscriptions, Payments, and Credits (to the extent fees remain due or credit-related rules remain applicable), Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution.
